File Your Wyoming Corporation Online Yourself

Instructions For Filing A New Corporation.

Go to https://wyobiz.wy.gov/Business/FilingSearch.aspx to check name availability.

Go to https://wyobiz.wy.gov/Business/RegistrationInstr.aspx to begin your registration.

Click the Green START NOW button. (There is a lot of helpful information on this page)

There is a drop down menu where you have to choose your entity type. There is a click box at the bottom of the page, click that box.

Enter the name of your company. You’ll be asked to enter it a second time for verification. You MUST have Inc, Incorporated, Corporation, etc. in the name of your business. Using a comma to separate the name and the ending is not necessary if you do not wish to use it.

The next screen will ask what type of Duration you would like. 99.5% of people choose Perpetual. But if you’d like the company to end on a certain date, enter that time period. You can also choose a delayed effective date. Many clients use this option near the end of the calendar or fiscal year. That way you can take the deduction of your payment in this year, but the company has the following year’s start date. It is your choice.

Next, you’ll enter the class of shares and the number of shares. You should choose this information before starting the process of filing. Remember, you only have 30 minutes to complete the filing before the website will time you out and you have to start over.

Next, you’ll name your Registered Agent. Enter WYOMING DISCOUNT REGISTERED AGENT in the Organization box. Click Search. When the name of our company comes up, click on our name. The Registered Agent information will automatically populate.

There is a click box at the bottom asking if you have permission from your registered agent. Click this box only if you’ve registered at our site.

The next screen is the opportunity to list your business address, both principle and mailing address. You are more than welcome to use our address for some added privacy. Our administrative office’s address is: 1111 S. Roop Street, #100, Carson City, NV 89702.

The next screen is for your Incorporator. This is the person asking for the company to be started.  This is the only person that will be associated with the company at this time. Next year, you will be asked to list your officers.

The next screen is for adding additional verbiage to your Articles of Incorporation. This step is completely optional in most cases. If you do not want to add to the wording of your Articles of Incorporation, click the Next button. However, if your company’s name is in a foreign language, there are instructions of what you need to do in blue writing. Follow those instructions.

The next page is a confirmation page. This is your last chance to make certain everything is correct. If you need to make changes, click the “Previous” button at the bottom of the page.

The next screen is the signature screen. Here you will digitally sign the filing. In most cases, the signature will be done by the Incorporator. But if you are the attorney or CPA for the Corporation, you can sign with those titles.

The next step is the Payment page. There you will enter your MasterCard or Visa number (Wyoming does not accept American Express or Discover) in the top half of the screen. In the lower half, you’ll enter your contact information. This is the information associated with your credit card.

After clicking the submit button, a screen will come up with two links. These are your credit card receipt and your completed Articles of Incorporation. Click on the PDF icons to download these documents. You’ll need the receipt for your credit card statement and as a record of this expense for your taxes. You’ll need the Articles as a record that you started the company. We suggest you print a copy for your corporate book and save the PDF to your computer as well.

You are now a Wyoming Corporation!

If ever you need a copy of your Articles of Incorporation, go to https://wyobiz.wy.gov/Business/FilingSearch.aspx Search the name of your company. Then, go to the “History” tab on your company’s listing. All of your documents will be there in pdf format. This is a very useful tool if you need to quickly access those documents.

Next, let’s get your Employer Identification Number from the IRS.

Go To the IRS EIN Assistant

Choose Corporation and proceed. The questions are straightforward and easy to answer. Just follow the instructions.

Next, you need to order your Corporate Book.

Every Corporation needs a Corporate Book. It can be formal or informal. Even though you can use a binder from Wal Mart and make a book up yourself, I suggest you buy one from Blumberg Excelsior. It is much more professional.

I like the Burgundy Beauty for $75.00 but check out their website and order the one that you like best. They come with a corporate seal, certificates, transfer ledger, dividers, and minute paper. You can order their kits with printed minutes and By-Laws or you can download the ones on this site. Your choice.

And finally, it is time to open your Corporation Bank Account.

You will need to show all banks your:

  • Filed Articles of Incorporation.
  • Filed Initial List
  • Letter from the IRS confirming your new EIN number.

Your bank may ask for additional items. Give them a call and ask what other items you need to bring with you.
